These Terms of Sale ("Terms") govern any order placed with Beech Tree Paper ("Beech Tree Paper," "we," "us," or "our") using a purchase order ("PO"). By submitting a PO, or by referencing these Terms on a PO, invoice, or confirmation email, you ("Customer," "you") agree to be bound by these Terms in full. If you do not agree to these Terms, do not submit a PO to us.

1. Order Acceptance

A PO is a request to purchase, not a confirmed order. No order is binding on Beech Tree Paper until we issue a written email order confirmation. We reserve the right to accept, reject, or request modification of any PO, including for reasons such as inaccurate pricing, unavailable materials, or incomplete information.

2. Pricing & Quotes

Written quotes are valid for [30] days from the date issued unless otherwise stated. Prices are subject to change after the quote period expires. Once a PO is confirmed by Beech Tree Paper, pricing is locked for that order and will not change due to material cost fluctuations, except as provided in Section 7 (Force Majeure) or where the Customer requests changes to the order after confirmation.

3. Payment Terms

Unless otherwise agreed in writing:

  • Beech Tree Paper offers Net 30 payment terms (invoice due 30 days from the invoice date) to approved PO customers, subject to the order limit described below.
  • First-time and standard PO customers are limited to an order value of $300 on Net 30 terms. This limit may be adjusted at our discretion as we establish a payment history with your organization.
  • Any portion of an order exceeding this limit must be paid upfront (in full, or via a deposit as specified on your order confirmation) before production begins on that portion of the order.
  • Accepted payment methods: ACH/bank transfer, credit card, and check.
  • Invoices not paid within terms may accrue a late fee of [1.5]% per month on the outstanding balance, and we reserve the right to require upfront payment on future orders, or to reduce or revoke Net 30 terms, until the account is current.

4. Production & Lead Times

All notebooks are custom-manufactured to order in small batches. Standard production time is 5–7 business days from final proof approval and receipt of any required upfront payment, plus shipping time. Lead times are estimates, not guarantees, and may vary based on order volume, materials, and the complexity of custom work. We will notify you as soon as possible of any significant delay.

5. Proofs & Approval

For any order involving custom artwork, logos, text, or branding, we will provide a digital proof and/or photos for your review prior to production. Production will not begin until you provide written approval of the proof (email approval is sufficient). Once approved, you are responsible for any errors present in the approved proof, including spelling, layout, color representation on screen, and placement. Beech Tree Paper is not liable for reprint costs arising from errors that were present in and approved on the final proof.

6. Order Changes & Cancellations

  • Changes to quantity, specifications, or artwork must be submitted in writing and may affect pricing and/or lead time.
  • Orders may be cancelled without penalty prior to proof approval and the start of production.
  • Once production has begun, deposits are non-refundable, as materials have been committed and labor has started.
  • Orders cannot be cancelled once production is complete.

7. Shipping & Delivery

Shipping costs, methods, and estimated delivery dates will be provided at the time of order confirmation. Delivery dates are estimates only. Risk of loss and title to the goods pass to the Customer upon delivery to the carrier. Beech Tree Paper is not responsible for carrier delays.

8. Inspection, Damage & Defect Claims

Please inspect your order upon receipt. Claims for shipping damage, shortages, or manufacturing defects must be submitted in writing to connectwithus@beechtreepaper.com within 7 days of delivery, with photos where applicable. Claims submitted after this window may not be eligible for replacement or credit.

9. Returns & Refunds

Because all PO orders are custom-manufactured to your specifications, they are not eligible for return or refund except in cases of confirmed manufacturing defect or an error that is not attributable to an approved proof, at Beech Tree Paper's discretion. Approved remedies may include reprinting the affected quantity or issuing a partial or full credit.

10. Tax-Exempt Orders

Nonprofit, school, and government customers claiming sales tax exemption must provide a valid exemption certificate for the applicable state prior to invoicing. Orders will be invoiced with applicable sales tax until a valid certificate is received.

11. Customer-Supplied Artwork & Intellectual Property

By submitting a logo, image, or other artwork for use on your order, you represent and warrant that you own the rights to that material or have permission to use it, and you agree to indemnify Beech Tree Paper against any claim arising from its use. Beech Tree Paper retains the right to photograph or video products for portfolio, social media and marketing purposes unless you request otherwise in writing.

12. Limitation of Liability

Beech Tree Paper's total liability for any order is limited to the amount paid for that order. We are not liable for indirect, incidental, or consequential damages, including lost profits or delays, arising from the sale or delivery of goods.

13. Force Majeure

Beech Tree Paper is not liable for delays or failure to perform due to causes beyond our reasonable control, including material shortages, extreme weather, carrier disruptions, or other events of force majeure.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the courts of Ottawa County, Michigan.
